上市公司股权再融资方式分析

摘要
目前,我国上市公司在股权再融资过程中,主要是通过盈余管理来获得再融资的资格,但再融资之后往往存在变更募集资金投向和盲目进行多元化扩张等诸多问题。因此,要对上市公司的股权再融资行为进行严格限制,使上市公司的股权再融资行为得以规范。本文对上市公司股权再融资加以梳理,介绍了上市公司股权再融资的方式与选择,找出了股权再融资存在的问题,并提出了几点个人建议,以期能通过对上市公司股权再融资行为的约束,使股权再融资这一工具得到科学合理的运用。
At present,in the process of equity refinancing,listed companies in China mainly obtain the qualifications of refinancing through earnings management,but after refinancing,there are many problems,such as changing the direction of fund raising and blind diversification expansion.Therefore,we should strictly restrict the equity refinancing behavior of listed companies,so that the equity refinancing behavior of listed companies can be standardized.This paper combs the equity refinancing of listed companies,introduces the ways and choices of equity refinancing of listed companies,finds out the existing problems of equity refinancing,and puts forward some personal suggestions,in order to make the tool of equity refinancing be used scientifically and rationally by restricting the behavior of equity refinancing of listed companies.
