企业集团财务控制系统研究

摘要
目前，我国通过收购、兼并、重组等资本运作形式组建企业集团的行为不断增多，企业集团如雨后春笋，迅速发展壮大。但是，在我国企业集团发展过程中也暴露出许多问题，这其中有体制方面的原因，也有机制和制度方面的原因。但财务控制方面的问题表现最为突出。财务控制上的缺陷已成为制约企业集团内部管理制度完善的瓶颈。如何加强企业集团的财务控制，已成为我国企业集团发展过程中亟待解决的问题，也是我国财务理论界面临的一个迫切问题。
本文对企业集团财务控制的特点、建立企业集团财务控制机制的要求、企业集团财务控制的环节和层次等企业集团财务控制的基本问题进行了剖析。同时，分析了美国和德国的企业集团财务控制机制，提出按分权制衡思想设计我国企业集团的财务监控机制。以此为基础分析了企业集团财务控制权配置问题。从委托代理理论出发，本文还分析了企业集团总会计师制度，认为财务总监委派制的实施，可以在很大程度上弥补在权力下放时子公司产权主体虚置、监督机制乏力和信息不对称的缺陷。另外将企业集团预算控制作为企业集团财务控制的核心。
总之，企业集团财务控制问题既是一个理论问题，又是一个操作性很强的实践问题，同时影响企业集团财务控制的因素很多，涉及到所有权结构、公司治理结构、资本结构以及集团管理体制等诸多方面。本文只是在企业集团财务控制机制构建、企业集团财务组织和制度控制、企业集团预算控制等几个方面进行了分析，所得出的结论也只是初步的。
At present, through purchasing, annexing and recombinating and so on, the enterprise group develops rapidly. However, with the development of our country's enterprise group there are a lot of problems. There are reasons of the mechanism, and also the system too. But the most outstanding things is the financial controlling. Financial control defect have become the bottleneck that restrain enterprise group from manage of the institutional improvement already. How to strengthen the enterprise group's controlleling of the financial affairs has already become the problem urgently waiting to be solved in the evolution of enterprise group of our country.
This article talks about some basic problems, such as the characteristics of enterprise groups' financial control, the requirement in the establishment of financial control mechanism for enterprise groups, and the steps and levels of their financial control. At the same time the paper also analyses the financial control mechanism of enterprise groups in America and Germany, put forward the establishment of our country's enterprise groups' financial control and supervision mechanisms. Based on that, the paper analyses the appointment of the financial control rights. According to the theory of agency, this paper analyses the chief accountant system of enterprise group. In addition to, the paper analyses the budget control of enterprise groups' financial control.
In summary, the financial control of enterprise groups is not only a theoretical problem, but also a strongly practice problem. There are a lot of factors which influence the financial control of enterprise that involve ownership structure, company management structure, capital structure and group management system etc. This paper makes some conclusions which are based on the enterprise groups financial controlling mechanisms structure, enterprise group financial organizations that control enterprise group budget.
本文对企业集团财务控制的特点、建立企业集团财务控制机制的要求、企业集团财务控制的环节和层次等企业集团财务控制的基本问题进行了剖析。同时，分析了美国和德国的企业集团财务控制机制，提出按分权制衡思想设计我国企业集团的财务监控机制。以此为基础分析了企业集团财务控制权配置问题。从委托代理理论出发，本文还分析了企业集团总会计师制度，认为财务总监委派制的实施，可以在很大程度上弥补在权力下放时子公司产权主体虚置、监督机制乏力和信息不对称的缺陷。另外将企业集团预算控制作为企业集团财务控制的核心。

At present, through purchasing, annexing and recombinating and so on, the enterprise group develops rapidly. However, with the development of our country's enterprise group there are a lot of problems. There are reasons of the mechanism, and also the system too.
