核工业企业主业改制研究

摘要
中国是世界五个核大国之一。随着世界政治、经济、军事格局的转变，"和平与发展"成为当今世界的主题。改革开放以来，核工业战略转移，核电产业迅速崛起。我国核工业必须精干主业，调整和优化结构，以建立现代企业制度为改革的方向。
党的十五大指出：建立现代企业制度是国有企业改革的方向。要按照"产权清晰、权责明确、政企分开、管理科学"的要求，对国有大中型企业实行规范的公司制改革，使企业成为适应市场的法人实体和竞争主体。在国企改革的同时，核工企业的改革也开始起步。核工企业由于其特殊性，目前的改革还在进行之中。如何改革、如何解决面临的重重困难、如何建立现代企业制度、如何进行建立较为完善的公司治理结构，是一个值得关注的问题。
本文包括前言及5个部分的分析：
第1部分是我国核工业发展概况分析。分别介绍了核工业集团公司概况、我国核工业的发展历程，改革开放以来核工业发展基本情况，以及核工业发展与改革的方向。
第2部分介绍了现代企业制度与核工业企业改革。首先分析了核工业企业为什么要建立现代企业制度，然后论述了核工业企业围绕建立现代企业制度目标进行的改革。
第3部分介绍了宜宾核燃料元件厂的概况，分析了宜宾核燃料元件厂主业的优势（S）、劣势（W）、机会（O）和威胁（T）。宜宾核燃料元件厂主业的优势包括资源及原材料优势、安全优势、环保优势和设备优势等。劣势有体制缺陷、技术创新能力弱、缺乏核心竞争能力、生产规模小、产品结构单一以及内部管理混乱等。机会分析从国家能源安全、中国的经济发展第三步战略目标、我国的可持续发展战略、能源结构调整、能源资源的布局特点及国家安全和国家政策等方面出发进行分析。威胁包括来自国内竞争对手、国际竞争对手的威胁。
SWOT分析的结果表明，宜宾核燃料元件厂必须加大科技投入，进行技术创新，构建自身的核心竞争力；必须按照核工业集团公司的要求，建立适应市场竞争的现代企业制度。
第4部分是宜宾核燃料元件厂改制分析。首先介绍了调整改革的总体思路和改制的总体方案，然后对改制方案从企业组织结构调整的局限性、产权制度、公司治理结构等方面进行了分析，并针对改制方案提出对策与建议。
第5部分是结语。宜宾核燃料元件厂主业的改革必须建立符合现代企业制度的组织结构，进行产权制度创新，并加快建立规范的法人治理结构。以观念创新、制度创新、管理创新和技术创新推动企业的可持续发展。
本文在写作时用了较大篇幅来对主业进行SWOT分析，以期更有力的说明改制的必要性和必然性。当然，这部分分析本身对我厂领导班子来说也是非常重要的，也是他们决策所需要的。这也是本文的特别之处。
本文的写作思路是：行业背景介绍→企业现状分析→改制的必要性分析→改制方案→改制方案的局限性分析→对策分析。
本题目研究的意义在于：目前，核工业企业的改革正处在十字路口，核工业企业的改革既需要理论的支持，也需要进行对策研究。对核工业这样的特殊行业，可以说其改革的成败关系着整个国有企业改革的成败；其改革成功的经验和失败的教训对国有企业的进一步改革均有着重要的借鉴意义。宜宾核燃料元件厂改制作为国有企业改革的一个典型案例，能够给国有企业尤其是特殊行业的国有企业改革的深化提供一个有价值的参考。
China is one of the five nuclear-powers. Along with the turnover of the international politics, economy and military affairs situation, the peace and development became the topic of today's world. The nuclear industry tactic transferred and the nuclear power grew up rapidly since the reform and opening of China. The mainstream of the nuclear industry should be given prominence to and the industry structure should be adjusted and optimized. The modern enterprise system (MES) should set up in the nuclear industry.
The fifth conference of the Communist Party of China pointed out that the reform direction of the state-owned enterprises (SOEs) is to set up the modern enterprise system. The reform should be carried out according to the principle of distinct property right, definite rights and duties, divided relation of government and enterprise, scientific administration, all of which turns the SOEs into corporations and main bodies of competition adapt to the market system. As the reform of the SOEs went on, the nuclear industry began to reform. The nuclear corporations have just got started to reform for the industrial particularity. How to reform, how to deal with the difficulties, how to set up the modern enterprise system, how to erect perfect corporate governance, all of these are problems worthy of concern.
This text is divided into 5 parts besides the preface.
The first part presents the general situation of the Chinese nuclear industry including the brief circumstance of China National Nuclear Corporation (CNNC), the developing courses of the industry and the progress made since the reform and opening of China. The development and reform orientation of the nuclear industry is analyzed.
The second part takes up with the modern enterprise system and the reform of the nuclear corporations. First of all, why the nuclear corporations need to erect modern enterprise system is analyzed. Then the reform of the nuclear
corporations around erecting the modern enterprise system is expounded.
The third part addresses the survey of the Yibin Nuclear Fuel Element Plant (YNFEP). The strengths, weaknesses, opportunities and threats of the main industry of YNFEP are analyzed. The strengths consist in raw material resources, safety in production, environmental protection, and equipment. The weaknesses are involved in the drawback of the corporation system, feeble ability in technical innovation, lacking core competitive advantage, unitary product structure and disordered internal management. The opportunities analysis comprises the continuance of strategy of China, adjusting energy-source composition, characteristic of energy distribution, national security and national policy. The threats come from the competitors of in and out. The SWOT analysis indicates that YNFEP must invest much capital in scientific and technological innovations so as to build up the core competitive advantage. And YNFEP should establish the modern enterprise system suited for the market competition according to the CNNC's requirement.
The fourth part analyses the reform of YNFEP. The reform train of thought and the general scheme are advanced in the first. Then the limitations of adjusting enterprise structure, the property right system, corporate governance are shown. The countermeasure and advice is put forward in connection with the reform scheme.
The fifth part is the epilogue. The reform of the main industry of YNFEP should set up the organizational structure accommodated to the modern enterprise system and should carry on innovating upon the property right system. The normative corporate governance should set up quickly.
When writing this paper, I devoted a lot of space to describing the SWOT analysis of the main industry of YNFEP so as to convincingly demonstrate the necessity and inevitability of the reform; of course, it is very important for the leading group to make decisions, which features this paper.
