国有企业兼并的动因及特点研究

摘要
国有企业改革已进入攻坚阶段，立足国有企业现状，注重国有企业历史，兼并已成为推动国有企业改革的一种非常重要的形式。本文借助现代企业理论和产权经济学理论的分析方法，把国有企业兼并作为研究对象，以合约论作为主线。首先从企业的概念、内涵出发对企业兼并的个体、社会动因进行一般分析，得出了兼并的实质为两个合约的对接和叠加。其次，从中西方企业兼并的比较分析中归纳出各自的特点，为加快国有企业兼并，完善国有企业兼并提供了历史的借鉴。在此基础上，以客观求实的态度对国有企业及其制度背景进行描述，进而采用实证分析的方法对国有企业兼并的特点、动因以及与之相关的政府行为进行重点分析，提出了国有企业产权基础再造、完善社会保障体系，完善资本市场和中介组织培育、完善企业兼并的法律、制度以及修正政府行为等方面为加快国有企业兼并走向市场化运作的对策建议。
The reform of state-owned business enterprise (SOE) has come to the key stage now. Referring to the history of state-owned business enterprise and based on its actuality, the mergence has become a very important modality to impulse the reform of SOE. In this paper, with the analyze methods of the modern enterprises theory and property right economics theory, taking the mergence of SOE as researching object, grabbing the main line of agreements, we firstly analyze the personal and social reasons of the mergence of SOE with the conception and connotation of enterprise, and then conclude the essentiality of the mergence, which is connection and addition of two agreements. Secondly, by comparison and analysis of mergence between the Chinese and West enterprises, we conclude the different characters, which provide a useful reference for the mergence of SOE and consummate the mergence of SOE. Based on the case of above, we can precisely describe the SOE and its policy background in objective and factualistic attitudes. Fatherly we pay attention on the analysis of the characteristics and reasons the mergence of SOE, as well as the government's action by means of exemplification analysis method. And then the countermeasures and suggestions in order to fasten the step of the mergence of SOE and the marketization of SOE are put forward. The reformation for basis of property right of the mergence of SOE, the consummation of social security system, the consummation of capital market, the cultivation of the agency organize, the consummation of the law system of the mergence of SOE and the revision of the government action have been suggested too.
