无处分权合同的效力——再析《合同法》第五十一条

摘要
无处分权合同的效力与交易相对人和交易安全保障等问题息息相关,焦点集中在当事人一方对合同标的物没有处分权,却把标的物处分给他人的合同,《合同法》第五十一条从合同关系做了规定,合同性质属于效力待定合同。该项规定除了本身存在的问题外还与诸多法律存在冲突,建议在未来《民法典》的制订中应考虑现行《合同法》第五十一条与其他民事法律的矛盾之处,以期实现法制之统一性。
The efficacy of the powerless disposition contact is closely related to the issues of trading counter-party and transaction security. It focuses on some contacts in which the parties have no right of disposition of subject matter, but still give the disposition to others. So, in Article 51 of the Contract Law, it is stipulated that the relationship and the nature of the contact is efficacy pending. Since it is promulgated, Article 51 of the Contract Law has been controversial not only because of its own problems, but also because it conflicts with many laws. It is recommended that in the future formulation of the Civil Code, the contradiction between Article 51 of the current Contract Law and other civil laws should be considered, in order to achieve the unity of the legal system.
