高校科研人员科技成果转化权和优先受让权问题研究

摘要
《促进科技成果转化法》规定的成果转化权与《合同法》规定的优先受让权,是科研人员分别基于公法和私法应当享有的不同类型的权利。但在高校科技成果转化的实践中,两种类型的权利常存在适用混乱的情形,从而导致单位利益与个人利益的博弈,不利于国家科技管理法律的实施。本文建议科技或教育主管部门制订促进成果转化的指导性文件,从而厘清法律概念,强化法律知识普及,保证科研人员正确行使权利。
The rights of achievements transformation prescribed in the law on promoting transformation of scientific and technological achievements and the rights of priority assignment prescribed in the contract law are different types of rights that scientific researchers should enjoy respectively based on public law and private law.However,in the practice of the transformation of scientific and technological achievements in colleges and universities,the two types of rights are often in a disordered situation,which leads to the confliction between the interests of units and private interests,and is not conducive to the implementation of the national science and technology management law.Based on the study of two types of rights through legal practice and empirical methods,this paper suggests the competent department of science and technology or education to formulate the guidance documents to promote the transformation of achievements,so as to clarify the legal concept,strengthen the popularization of legal knowledge,introduce professional legal persons,and ensure researchers to correctly exercise their rights.
