海洋油气钻采平台融资租赁合同承租人的单方变更权研究

摘要
在海洋油气钻采平台融资租赁合同漫长的履行周期中,存在着诸多难以预见的风险。在合同不可解除的要求下,可通过在合同中设立单方变更权条款的方式应对。承租人作为单方变更权的权利主体,应在一定范围内按程序行使该权利。同时,承租人还应让建造商和出租人对变更的内容具有期待的可能性,且承租人应积极承担变更后的结果。对我国现行融资租赁业相关法律规范中对承租人保障不足的问题,可采取诸如推进以《融资租赁法(草案)》为核心的统一立法,丰富承租人的救济手段和强化融资租赁业的监管体系等措施应对。
There would be many unforeseen risks during the period when the financial leasing contract for offshore oil and gas drilling platforms was fulfilled. Since the contract couldn't be dismissed,these risks could be prevented by establishing a unilateral change right clause in the contract. The lessee,as the subject of the unilateral change right,should exercise the right within particular scope under the certain procedures. At the same time,the lessee should make the lessor and the builder fully aware of the fact that they should be holding reasonable expectation towards the changing parts,also the lessee should bear the consequence of what changed without any complain. Problems like the insufficient protection provided by the current relevant law system regulating financial leasing business needed to be tackled,and measures like promoting the unification of the financial leasing law system based on the"Financial Leasing Law( Draft) ",and enriching the remedial measures that could be used to protect the lessee's benefits and to strengthen the supervision of financial leasing business,needed to be carried out.
