论我国反垄断法的域外适用——基于美欧反托拉斯法域外适用的思考

中国化工并购瑞士先正达,康明斯并购襄阳康豪以及石墨电极卡特尔案等一系列热点事件使得公众和学者开始关注和研究我国反垄断法的域外适用制度。本文通过对美国反托拉斯法和欧洲竞争法域外适用原则的梳理和分析,提出我国应通过国内法、双边和国际协调等方式完善我国反垄断法域外适用制度,以防范国际卡特尔对于我国产生的不利影响,维持我国公平有序的市场竞争环境。
A series of hot merger deals attract the attention of public. Chem China acquired Swiss giant Syngenta and graphite electrode cartel case. Scholars began to re-focus their attention to the extraterritorial application of Chinese antitrust law. This article tries to study and analyze the effective principles and doctrines of US antitrust laws and EU anti-competition laws. We can transplant these effective methodology to enhance the effectiveness of our current system of extraterritorial application of Chinese antitrust law, and prevent the adverse effects of international cartel and maintain the fairness and order of market environment.
