银行融资级可行性研究合同谈判及管理

摘要
在经营投资规模较大、有意向从国际金融机构进行融资的大型海外项目时,需首先完成银行融资级可行性研究报告(BFS),目的是对项目进行技术经济分析论证,以及对项目建成后的经济、社会、环境效益等进行科学预测和评价,为投资决策、项目资金筹集和信贷申请提供科学依据。BFS项目合同实施中软性的、不确定的因素较多,在合同谈判及管理中各方会出现诸多争议,如承包商义务、业主提供的资料、变更、合同价格和付款条款、知识产权,以及合同终止等,结合实际案例,对BFS合同谈判中需注意的重要方面进行了分析,总结经验教训,并提出了合同过程管理的4点实践经验。
Bankable Feasibility Study( BFS) is a precondition when a mega overseas project which needs a large amount of fund and especially proposed to be financed from international financial institutes. The purpose of the BFS is to analyze and demonstrate the economic feasibility of the project,as well as to forecast scientifically the influence of this project to local economy,community and environment,then to provide the evidence of supporting the investment decision,project funding and crediting. There are many soft and uncertain factors in the execution of the BFS contract,and many conflicts would occur during the process of contract negotiation,such as in the area of responsibilities and duties of contractor,company supplied information,variation,price and terms of payment,intellectual property,and contract termination,etc. Some important perspectives which should be paid attention to in the contract negotiation were analyzed in this paper combing with cases,experiences and lessons were concluded,and 4 suggestions for contract process management were proposed.
