关于船舶融资租凭合同若干问题的法律研究

摘要
本文从融资租赁的定义和种类入手，通过与光船租赁、一般融资租赁相比较，显示船舶融资租赁交易独特的法律性质、法律特征。在我国现有法律体系下，分析船舶融资租赁的法律适用，指出我国目前船舶融资法律方面的空白和不足。主要在《合同法》第十四章和比照适用《海商法》，中光船租赁合同相关条款的法律框架下，具体研究船舶融资租赁合同的订立、效力、主要内容、双方当事人权利义务、对第三者的责任等，从而拟订出一种可操作性强的船舶融资租赁格式合同。本文也对船舶融资租赁的风险保障机制和登记制度进行了初步探讨，提出若干法律建议。
Starting from the definition and kinds of financing lease,this thesis demonstrates the unique legal nature and feature of shipping financing lease in comparison with bareboat charter and general financing lease. Under the current Chinese legal system,it aims at analyzing the application of law of shipping financing lease and indicating the gaps and discrepancies in the shipping financing law. Within the legal frame of Chapter "No. 14 in China Contract Law and in contrast with the provisions of bareboat charter contained in China Maritime Code,it makes a detailed research on signing,validity,contents,rights and obligations of both parties concerned,liability for the third party ect. of shipping financing lease contract so to draw up a contract form of shipping financing lease with high-level operation. This thesis also has an initial discussion on risk prevention system and registration system of shipping financing lease and puts forward to several legal suggestions.
