多式联运型物流企业并购的网络协同效应研究

摘要
本世纪以来,全球接二连三发生并购事件,可以断定产业整合将达到一个新的历史性高度,以强强联合为主要内容的并购重组在新一轮并购活动中将占据主导地位。在这种背景下,我国多式联运型产业“大企业、大物流、大品牌”发展战略的实施,使其必然面临全球范围内来自成本、效率、服务水平等方面的压力与挑战,振兴规划出台后随着综合物流业在经济体系中的重要作用日益突显。因此,我国传统多式联运企业必须进行彻底的改革,通过并购、重组等方式,从根本上改变目前分割、零散、重复、浪费、效率低的状况,建立我国专业化、社会化的综合物流体系,依此作为提高其核心竞争力的重要途径。
     多式联运型物流企业并购是企业组合的一个重要运行机制,是通过容纳另一个企业或多个企业,形成经营要素的重新组合,管理流程不断调整,企业内部机构进行新一轮的配置,组织网络规模日趋合理,信息网络日益通畅,业务网络运营日益强大,使企业能够在更大范围和更合理结构基础上,满足价值网的增值要求。
     本文通过实际调研与文献分析,综合运用企业并购理论、现代物流理论和方法以及系统协同学理论,收集国内外相关文献资料、在深入研究我国多式联运企业物流管理现状和问题基础上,剖析了多式联运物流企业并购的深刻内涵,进而研究其并购后网络协同的深刻含义,提出了以物流组织网络、信息网络和业务网络为并购后网络协同体系的观点。在此基础上,通过探讨多式联运物流企业并购后网络协同与网络协同度关系,建立了衡量网络协同度的一般化模型和指标体系。最后,应用实证分析,来验证本文的研究结果。研究成果将为从事多式联运、货代等业务的综合物流企业制定发展规划和技术政策提供决策依据;研究成果也可将为丰富多式联运行业实现综合物流管理理论以及企业并购理论做出积极贡献。
     论文主要研究工作的创新点,具体体现在以下方面:
     1.论文在多式联运物流企业并购理论研究中,分析了多式联运物流企业并购的内涵、特征和方式,提出了“以物流网络为基础,以物流组织为能力保障,以物流信息为技术支撑”的指导思想,从物流组织网络、物流信息网络和物流业务网络三方面论述了多式联运物流企业并购的框架与内容以及三者的逻辑关系。既为解决多式联运物流企业并购问题提供了理论依据,也对其他行业研究并购问题具有一定的参考价值。
     2.论文创新性工作在于提出多式联运物流企业并购网络协同概念,建立了基于物流组织网络、物流信息网络和物流业务网络为体系的网络协同概念模型。并以此为切入点,实现多式联运物流企业并购网络协同效应的最大化,为我国多式联运物流企业的健康持续发展,提供具有理论价值和现实意义的解决方案。
     3.论文在建立多式联运型物流企业并购后网络协同效应模型方面。概述了并购网络协同效应,进而证明网络协同效应与网络协同度的正向关系。通过建立并购网络协同度一般化计算模型,来衡量多式联运型物流企业并购网络内部要素、要素之间以及与外部环境的协同程度。通过专家调查方法,构建协同度指标体系。同时以原始资料对模型进行了实证研究,验证了研究成果的科学性和可操作性。
     本文中共有图56幅,表59个,引据参考文献篇。
Since from this century, M&A happened all over the world one after another, it can be concluded that industrial integration which will achieved a new altitude historically, with the main content association between strong enterprise, M&A will play a very important role in new M&A activities. Under this background, the multimodal transportation industry in our country,within "big enterprise、big logistics、big brand" implementation, making it is faced with the challenge and pression from cost, efficiency, standard of service. So that traditional multimodal enterprises have to reform thoroughly in our country, through M&A, change the present situation on segmentation、scattered、repeat、waste、low-efficiency, establish profession、social comprehensive logistic system, in turn as the important way to enhance core competitiveness.
     Multimodal transportation logistics enterprises are one of the important operating mechanism in enterprises combined, management process adjust all the time, and allocation is operated inside the enterprise, organization network size tend to be reasonable, information network tend to be more unobstructed day after day, business network will be stronger every day, it make enterprises content value net demand within more lager range and more reasonable structure.
     This article through the field research and literature analysis, the integrated use of enterprise merger theory, modern logistics theory and method and system synergetic theory, collects the domestic and foreign relevant literature, based on the thoroughly research on the present situation and problems of multimodal transport enterprise logistics management in our country, analyzed on the profound connotation of the multimodal transport logistics enterprises merging, and studies on after the merger, the profound meaning of the network synergetic, put forward the logistics network organization, information network and business network are the network synergetic system after merge. On this basis, through the discussion the relation of network synergetic and the degree of network synergetic after the multimodal transport logistics enterprise merged, establish an index system to measure network synergetic degree and generalization model. Finally, verified the results of this research through applying demonstration analysis. Research results will be engaged in multimodal transportation、 freight business such as comprehensive logistics enterprises formulation development planning and technical policies-making advise providing, and it will also be in order to enrich the multimodal transport industry to realize comprehensive logistics management theory and enterprise merger theory make positive contribution.
     The main innovation points of this paper are embodied in the following respects:
     1. In the area of merger theoretical study of multimodal transport logistics enterprise, analyzed the connotation of the merger of multimodal transport logistics enterprises, features and methods, and then proposed "the logistic network as the basis, logistics organization for ability guarantees, and logistics information as technical support" guiding ideology, from logistics organization network, logistics information network and logistics business network are discussed from three aspects:the multimodal transport logistics enterprise merger framework and content, and its logic relationship. Both for solving multimodal transport logistics enterprises merging issues, also providing a theoretical basis for other industry research M&A to provide some reference value.
     2. The innovation of this paper is that have proposed multimodal transport logistics enterprises merging network synergic concept, and established network synergetic conceptual modal based on the system of logistics organization network and logistics information network and logistics business network. As the breakthrough point, realized the maximization of multimodal transport logistics enterprises merging network synergy, provided a theoretic value and practical significance of solutions for a sustainable development of multimodal transport logistic enterprises in our country.
     3. On the aspect of establishing the modal of network synergy efficient after multimodal transport logistic enterprise logistics after the enterprises have merged, this paper summarized the M&A network synergies and then proved the positive relation between network synergies and network synergy degree. Through establishing the generalization calculation model of M&A network synergetic degree, it can measure the degree of multimodal transport logistics enterprises merging network synergy, and its intern element、extern element and their synergy degrees with external environment. On the method of expert investigation, this paper constructed the index system of synergy degree. At the same time, it has done empirical research within original material, proved to be scientific and operable.
