国际投资及其国民待遇法律问题研究

摘要
随着全球经济一体化和我国加入世贸组织进程的加快，国际投资对我国国民经济的影响越来越大。广义的国际投资包括国际直接投资、国际证券投资、国际借贷资金及部分国际援助等。狭义的国际投资仅指国际直接投资和国际证券投资。国际投资是国际资本流动的重要形式，也是国际经济合作的重要内容。
从事国际直接投资活动是跨国公司的重要业务，跨国公司采用何种形式从事国际直接投资，取决于自身条件和国际投资环境。跨国公司是国际直接投资的主体。随着各国经济联系的日益加强和科学技术的迅速发展，跨国公司对世界经济产生着越来越广泛而深刻的影响。
随着我国加入WTO进程的加快，大量外资将涌入我国。外商投资的待遇问题在国际投资领域有着重要意义，也是国际投资法中的一个核心问题，而其中的国民待遇问题则尤其引人关注。文中对国际直接投资中的国民待遇问题从三个方面进行了论述，首先介绍国民待遇标准的含义、适用范围，以及基本内容分析，并通过与国际直接投资中的公平待遇、最惠国待遇等进行比较，说明国民待遇是适用于内国与外国之间的，禁止对外国歧视的一种待遇制度。其次通过对WTO中关于国民待遇的具体规定的分析，说明当今世界上发达国家之间、发达国家与发展中国家之间、发展中国家之间适用国民待遇标准的普遍原则，以对我国的国民待遇标准的完善提供借鉴。最后针对我国国内法、双边投资保护协定的规定，阐述国民待遇在我国的适用现状及存在问题，并就今日经济发展形势如何从法律角度完善国民待遇制度提出自己的粗浅建议。
With the speeding up of the world economy and our joining into WTO, international investment in china has more important effect on china's national economy.
International investment in broad sense including international direct investment, international securities investment, international Loan and partial international suport etc. International investment in narrow sense only means international direct investment and international securities investment. International investment is the important form of international capital flow and the important part of international economic co-operation.
Direct international investment is the important business of the transnational company. The form that the transnational company should take depend on the company' s self-condition and international investment environment.
Transnational company is the majority of international direct investment. With the development of sentific tecnology and the continuously strengthen of nation's economic relations, transnational company have more extensive and deep effect on world economy.
With the speeding up of joining into WTO, more and more foreign capitals will be pouring in our country. The treatment to foreign investment is of great importance in international investment and it's also a key problem in international investment law. The Standard of National Treatment(SNT) especially attracts people's attention.
This paper discusses the Standard of National Treatment to foreign investment from the following aspects:First, it introduces the legal meaning and the applicable scope of the SNT, It is a standard of forbidding discrimination between internal country and foreign country, compared with the just treatment and most-favored-nation treatment. Second, by means of the specific analysis about the specific stipulation in WTO, it demonstrates the general principles of the SNT between developed countries, developed countries and developing countries and also between developing countries, in order to provide reference to perfect the SNT in our country. Thirdly, in accordance with the stipulation in internal law and bilateral investments in our country , it illustrates the existing status and existing problems of the SNT, and puts forward some superficial suggestions to perfect SNT in our country from legal point.
