我国有限责任合伙律师事务所的法律设想与构架

摘要
有限责任合伙是近十几年来流行于英、美的一种商业组织形式,它结合了传统合伙和公司两方面的优点,既发挥了合伙在经营管理上的灵活性特点,同时将合伙人无条件的无限责任变为有条件的无限责任,合理限制了专业人士以合伙方式运作时所需承担的法律责任,解决了普通合伙制度存在的限制和不足。2006年8月27日第十届全国人民代表大会常务委员会第二十三次会议对《合伙企业法》进行了修订,明确规定:“以专业知识和专门技能为客户提供有偿服务的专业服务机构,可以设立为特殊的普通合伙企业”,“非企业专业服务机构依据有关法律采取合伙制的,其合伙人承担责任的形式可以适用本法关于特殊的普通合伙企业合伙人承担责任的规定。”可见《合伙企业法》的实施将会推动律师组织形式向多样化方向发展。
本文借鉴国外有限责任合伙立法经验,立足于我国律师业的现实,结合律师执业的特点,对我国设立有限责任合伙律师事务所的可行性进行了论证。本文第一部分介绍了有限责任合伙律师事务所的有关情况,第二部分介绍了有限责任合伙的产生与发展并进行了比较,第三部分结合律师业的特点,分析了现行组织形式的不足,第四部分对我国有限责任合伙律师事务所存在的可行性进行论证,第五部分结合我国修订的《合伙企业法》,谈论了我国目前设立有限责任合伙律师事务所存在的一些立法障碍及解决问题的对策。
