国际项目融资担保的法律制度研究
摘要
项目融资是20世纪40年代以后国际金融市场推出的一种新型融资方式。经过近七十年的创新和发展，项目融资已经成为多数大型工程项目筹集资金，进行建设开发的重要手段。在我国，项目融资也广泛地应用于铁路、电站、机场和港口的建设中，从而为根本改善我国相对落后的基础设施状况发挥着举足轻重的作用。但是，由于其特殊的财务结构和管理模式，较之传统融资，项目贷款中的贷款银行面临着更大的风险。因此，如何充分地运用各种担保方式以降低项目融资中的风险便成为银行及其顾问重点考虑的问题之一。本文在分析项目融资所面临的商业风险的基础上，探讨如何利用项目自身资产、项目主办人及与项目有利益关系的第三方提供的担保来降低项目融资的风险，并提出完善我国项目融资担保法律制度的立法建议。
全文包括引言、正文和结语三部分，正文共分五章。
第一章首先回顾了项目融资方式的产生，比较其与传统融资方式的不同，并指出其优劣所在。接着分析了项目融资所面临的商业风险及可能采取的担保方式。
第二章探讨了以项目公司自身资产提供的担保，主要分析了浮动抵押及其在项目融资中的应用。
第三章则探讨项目主办人提供的担保，重点在于完工担保和资金缺额担保。
第四章涉及与项目有利益关系的第三方提供的担保，主要探讨了购买协议和默示担保两种担保方式。
第五章主要回顾了我国利用项目融资的实践，分析我国在项目融资中所采用的担保法律制度，并在此基础上对如何完善我国项目融资担保法律制度提出立法建议。
