石家庄铁路房建系统企业重组研究

摘要
随着我国社会主义市场经济的不断发展,国有企业的体制改革逐步深入,我国铁路企业房建系统各单位将作为铁路运输企业的辅业单位,进行“主辅分离”的改革,完成企业化改造,实施市场化运作方式的转变。处于转型时期的铁路房建系统各单位要保证改企建制的成功,急需站在战略的高度,认真分析企业的各种资源,以现代管理理论作指导,对企业的重组改制方案、改制后的整合管理等进行深入研究。
     本文以石家庄铁路房建系统各单位为研究对象,采用理论与实践相结合的研究方法,围绕企业的业务重组、财务重组、组织重组和企业文化整合等重点问题展开研究,确定企业总体发展战略。这是我国铁路运输业管理体制进行主辅分离的改革迫切需要解决的问题。
     本文通过对国内宏观环境、行业环境及石家庄铁路房建系统各单位目前改革现状,提出了在改革过程中进行企业重组的现实意义和必要性。对于企业重组的相关理论进行了简要论述。对依附于铁路运输业的房建系统各单位在当前深化改革、企业化改造的现状和存在的突出问题进行了总结;在对所从事行业的内外部竞争环境分析的基础上,提出了组建集团公司的企业模式,明确企业的总体发展战略是多样化经营战略。根据企业发展战略的需要,在对企业独特性分析的基础上,提出了法人治理模式及组织重组方案;进而提出了财务重组方案,包括股权结构及债务处理;运用波士顿矩阵方法对企业的主要业务单元组合进行了分析,提出了业务重组方案;并对影响组织绩效的企业文化、人力资源整合等问题进行了研究。
Develop continuously along with the our country socialism market economy, the system of the state-owned business enterprise reforms gradually thorough, our country the railroad business enterprise building sets up each unit of system will be used as railroad conveyance the business enterprise assists the industry unit, proceeding" the lord assists the separation" of reformation, complete the business enterprise turns to reform, putting into practice the market turn the change that operate the way.The railroad building that be placed in the transformation period sets up each unit of system wants business enterprise that guaranteeing and changing the success sets up to make, needing stand urgently to high degree in strategy, every kind of resources of the earnest analysis business enterprise, make the leading with the modern management theories, change the system the project, integration changing the system behind the management etc. the proceeding the thorough research to the reorganization of the business enterprise.
     This text with the Shijiazhuang railroad building sets up each unit of system for research object, adoption theories and research method that fulfillment combine together, surrounds the business reorganization, finance reorganization of the business enterprise and organizes to reorganize to integrates with the corporate culture the etc. point problem launch the research, making sure the total development in business enterprise strategy.This is the our country railroad forward agent management system proceed the lord assists the disjunctive reformation the urgent the problem that demand resolve.
