民营企业资本运营风险问题研究

摘要
改革开放以来，我国的民营企业得到了快速发展，取得了历史性的成就，对国民经济的增长作出了巨大贡献。与此同时，我国的民营企业的数目虽然众多，但资产规模普遍较小，平均寿命偏短。这反映出我国民营企业自身的资本保值与增值存在很大的问题，绝大多数企业防范风险的能力极差，严重制约了自身的发展。因此，有必要从资本运营角度去重新审视我国民营企业在新时期所面临的风险，并探究防范的方法。
论文首先对资本运营的含义、特征、内容，资本运营风险的含义及类型等做了全面系统的理论探讨。接着文章回顾了我国民营企业的产生，分析了我国民营企业资本运营的现状特点，深入剖析了我国民营企业资本运营过程中存在的系统风险和非系统风险，包括政策法规风险、经济风险和社会风险等系统风险和经营风险、行业风险、技术风险、财务风险、管理风险等非系统风险，其中政策法规、技术、经营和管理风险是影响我国民营企业资本运营成败的主要风险。在此基础上，文章提出可以从建立健全科学合理的民营企业治理结构和人力资源管理制度方面去增强自身抵御风险的能力，同时通过资本运营前的尽职调查、分散化投资、多阶段投资等手段来防范非系统风险。最后希望政府能优化民营企业所处的政治、经济和社会等外部环境，在一定程度上降低民营企业资本运营的系统风险。
Nongovernmental enterprise in our country gets considerable headway and gains remarkable achievement since reform open. It makes a tremendous contribution to the growth of national economy. Meanwhile, the assets scale of nongovernmental enterprise is universally limited and won't last very long though it has large amounts. That shows the maintaining and increase value of nongovernmental enterprise capital exist major issues. Most of enterprise has little ability to prevent risk, which restricts own development seriously. So it is necessary to consider again the failing risky issues of nongovernmental enterprise in modern period from capital operations angles and find the way to prevent it.
Firstly, this dissertation discusses the implication and feature of the capital; the source of nongovernmental enterprise capital; the implication, feature and content of capital operations; the implication and types of the risky issues of capital operations. Then the thesis reviews nongovernmental enterprise how to emerge; analyses the present situation, systematic risk (including policy and statutes risk, economy risk and society risk etc.) and nonsystematic risk (including operation risk, trade risk, technology risk, finance risk and management risk etc.) of nongovernmental enterprise capital operations. Policy and statutes, technology, operation and management risks are main risks that effect success or failure of nongovernmental enterprise capital operations. On the basis of that, the dissertation puts to heighten the ability against risks through establishing the administration structure of scientific rational nongovernmental enterprise and the institution of human resources management. Besides, through using the means of conscientious investigation before capital operations, diversification investment, stages investment and hedging to prevent risk.
