我国网上证券交易的发展及其监管对策分析

摘要
近年来，信息技术的发展，尤其是互联网技术的广泛普及和应用，正在导致商业领域的一场革命，而网上证券交易正处在这场革命的前沿。网上证券交易在世界范围内来看，也还是一项新兴业务，对技术、制度环境的依赖程度很深。但它在证券市场发展和普及的速度很快，代表了证券经纪业务的发展方向。因此，我国券商也必须未雨绸缪，在发展中规范，在创新中完善。同时，网上证券交易作为发展的最成熟的网络金融业务，其监管尤为紧迫。我国的证券监管部门对网上交易这一新的交易方式持积极态度，对发展网上证券交易业务给与了高度重视。证监会于2000年4月14日出台了《网上证券委托暂行管理办法》，从技术和业务两方面提供了降低网上交易风险的综合措施，为我国网上证券交易业务的开展和普及提供了制度上的保证。因此，如何对我国网上证券交易进行有效切实的监管，保证其稳健发展以应对入世后来自国外同行的挑战是我们当前要迫切思考的问题。基于此，本文选题“我国网上证券交易的发展及其监管对策分析”，旨在对我国券商及监管部门有所借鉴。
论文结构大体如下，第一部分为互联网、电子商务与网上证券交易概述。这部分首先论述了网上证券交易得以进行的技术基础——互联网的基本技术原理和电子商务的交易流程，然后对网上证券交易的含义、本质、优势及问题进行了基本的分析。
第二部分为我国网上证券交易的发展，是本文的重点写作部分。这部分首先给出了我国网上证券交易发展所处的国际环境，即全球互联网网上证券交易的发展；然后论述了我国网上证券交易的发展历程和交易模式；分析了我国网上证券交易发展的制约因素，其中着重探讨了我国网上证券交易的制度空间及券商策略；对网上证券交易进行了经济学分析，得出网上证券交易将由今天的创新转为明天的盈利业务的结论；最后对我国网上证券交易的进一步发展给出了积极的预测。
第三部分为我国网上证券交易的监管。首先对网上证券交易的监管难点和必要性进行了分析。然后论述了网上证券交易监管的原则，构造了网上证券交易监管的制度框架，探讨了网上交易监管的市场进入、退出及日常监管问题。最后提出了相应的监管对策。
In recent years, the development of information technology, especially the widespread application of Internet Technology, has led to a revolution in the commercial field, of which online security transaction is on the foreground. To the whole world, online security transaction is still a newly emerging business form, which relies heavily on the environment of technology and regulation development. Nevertheless, online transaction grows quickly in the security market, and stands for the developmental orientation of the security brokerage. Therefore, Chinese security dealers should be prepared, standardizing operations in development, and making improvement while innovating. Meanwhile, online security transaction, as the most mature online financial service, needs urgent supervision. China security regulatory bodies hold a positive attitude toward this newly emerging transaction means, and pay high attention to its development. In April 14, China Security Regulation Committee (CSRC) issued a provisional regulation providing comprehensive measures to lower online transaction risks from the technical and business perspectives, and offering a guarantee in system for the development of online business. Therefore, how to effectively supervise the online security transaction, to insure its steady development and to meet the challenges from foreign competitors after China's entry into WTO, are problems that demand our imperative consideration. The thesis "Development of China's online security transaction and analysis of regulating measures" aims at offering some suggestions to security dealers and regulating authorities.
This paper consists of three parts. Part I gives basic introductions to Internet, E-Commerce and online security transactions, which begins with the technical basis of dealing via Internet-the basic technical mechanism of Internet and the process of e-commerce, and then makes some fundamental analysis of the concept, essence, advantages and problems of dealing via Internet.
Part II, as the main part of this paper, discusses the development of online security transactions in China. It first points out the international circumstances of
dealing via Internet, the global progress of online security dealing. Then the article continues to talk about the development course and business model of dealing via internet in our nation, scrutinizing the restrict factors, emphasizing the regulatory room and the security dealers' corresponding strategy, and making an economic analysis for security dealing via internet, then reaches the conclusion that this business form, through innovation today, will bring profits tomorrow. Finally, it gives the positive forecast.
Part III is about the regulation of online security transactions. It lists the difficulties and necessities of regulation, dictates the principle and strategy of dealing via Internet, and puts forward suggestions on corresponding measures.
论文结构大体如下，第一部分为互联网、电子商务与网上证券交易概述。这部分首先论述了网上证券交易得以进行的技术基础——互联网的基本技术原理和电子商务的交易流程，然后对网上证券交易的含义、本质、优势及问题进行了基本的分析。
