价值评估在风险资本市场中的应用
摘要
过去的20多年是世界科技进步和经济飞速发展的时期，我们深切体会到知识经济—世界经济发展主旋律的气息。面对知识经济时代的挑战，各国政府都采取了相应措施，以期在未来世界经济中占有一席之地。我国政府制定的“科教兴国”战略和发展高科技产业也是应时代潮流而产生的。而要发展高科技产业，首要任务是建立社会性高科技开发和技术创新体系以及支持高新技术企业发展的风险投资机制，把现代高新技术产业的发展与现代金融工具有效结合起来。因此在刚刚过去的几年中，高新技术企业产业化与风险投资成为了全社会关注的焦点。
高技术产业的发展需要一种新的资本市场环境，即风险投资资本市场。风险投资资本市场的发展需要一些特定的政策和法律等环境，需要深入地探讨和研究。风险投资作为一种金融中介，在高科技企业的融资及管理方面起着非常重要的作用，资金与技术的结合促进了公司的发展，从而提高了整个社会的经济实力。风险资本的运作过程可粗分为融资过程、投资过程和退出过程，价值评估在风险资本运作的每个过程中都扮演着重要角色。
本文归纳总结了传统的价值评估理论，再结合风险资本市场的特点，对传统价值评估方法加以修正从而使它们适用于风险投资企业的价值评估，同时紧密跟踪国内外该领域的最新研究，从而建立了一个有关风险投资企业价值评估的综合体系，最后结合风险投资企业的发展阶段，指出不同发展阶段下的风险投资企业适用哪些价值评估方法。
The past 20 years is the period which saw the rapid development of global technology and economy, we deeply feel the pulse of knowledge economy-the main melody of the development of the world. Facing the challenge of knowledge economy, governments of all countries have taken relevant measures so as to play an important role in the global economy of the future. To develop high-tech industry, it's imperative to establish a R&D system of high-tech and a mechanism for venture investment, and the development of high-tech industry should also be combined with modern financial instruments. During recent years, high-tech industry and venture investment have become the focus point of the world.
The development of high-tech industry needs a kind of new capital environment which is the venture capital market. And the development of venture capital market needs to deeply research some special policy and law environments. As a financial medium, venture capital plays an important role in the finance and management of high-tech enterprises. The combination of capital and technology makes contributes to the growth of the companies, furthermore to the whole economy and society.
This thesis firstly introduces the venture capital market and reviews the traditional theory of value evaluation. According to the specialty of venture capital market, the author modifies the traditional value evaluation methods so as to fit into the evaluation of venture capital enterprises. Some new evaluation methods also are introduced from foreign researches. Then a comprehensive value evaluation system for venture capital enterprises has been established. At last the author also indicates which evaluation method fits in with different status of the venture capital enterprises.
高技术产业的发展需要一种新的资本市场环境，即风险投资资本市场。风险投资资本市场的发展需要一些特定的政策和法律等环境，需要深入地探讨和研究。风险投资作为一种金融中介，在高科技企业的融资及管理方面起着非常重要的作用，资金与技术的结合促进了公司的发展，从而提高了整个社会的经济实力。风险资本的运作过程可粗分为融资过程、投资过程和退出过程，价值评估在风险资本运作的每个过程中都扮演着重要角色。
