RL集团家族企业治理研究

摘要
家族企业是一种存在于人类社会中既古老又极具生命力的企业组织形式。世界范围内80%以上的企业归属于家族企业。我国的民营企业绝大多数以家族企业形式存在,经过了二十多年的发展已渐成规模,目前在创造社会财富、增加政府税收、吸纳就业、促进社会稳定等方面日益发挥着重要的作用。因此,研究家族企业的治理问题,对于促进家族企业健康发展,不断提升我国企业的竞争力,有着重大的意义。
     本文主要应用了公司治理理论、信任扩展理论、差序格局理论,并应用规范的理论阐述、实证调查以及典型案例分析相结合,力求全面、准确地把握家族企业治理问题。此外,还运用比较方法,把国外家族企业治理模式与我国家族企业治理模式进行对比,以揭示中国家族企业治理的发展趋势。本文研究的主要内容就是家族企业RL集团公司的治理问题,该公司的发展进程是中国许多民营企业发展的缩影,具有很典型的代表性。本文在国内外文献综述和涉及的相关理论的基础上,对RL集团公司当前治理现状以及存在问题,进行成因分析,找出其治理水平滞后于其发展的原因,并从中国家族企业通常采用的三种类型治理模式中,为RL集团设计出一条适合该企业目前发展的治理模式,使之朝着健康的方向发展,并给出完善RL集团家族企业治理的对策。
     本文旨在通过对RL集团的治理研究,剖析家族企业治理存在的共性问题及不同类型家族企业治理存在的特殊问题,试图为我国家族企业探索出一条成功之路,使之更好地为社会主义现代化建设服务。
Family business has been an ancient and vital form of business organization that has existed in human society. Worldwide, more than 80% of enterprises are family businesses. After more than 20 years of development and expansion, the vast majority of Chinese private enterprises exists in the form of family business, At present, family business plays an increasingly important role in the creation of social wealth, increasing government revenue, job creation, promoting social stability and other similar worthwhile results. As a result, the study of problems relating to family business governance has a great value in promoting healthy development of family business and can also promotes the competitiveness of Chinese enterprises.
     The paper mainly applies theories in corporate governances, trust expansion, structure of grade, and research approaches we used in the paper are normative theoretical elaboration, empirical investigation as well as typical case analysis. We also try to tap and sort out the governance problem of family business. Moreover, through method of comparison, the paper compares foreign family business governance model with that of the Chinese model, and reveal the development tendency of Chinese family business governance. RL group corporation governance is the main subject studied in this paper, the development course of this corporation is miniature of many Chinese private enterprises development, and have typical representativeness. On the basis of the relevant theories as well as from reviews of local and foreign literatures, and according to the current situation and existing problem of RL group, the paper aims to analyse the causes of the formation of the actuality and find out the reason why governance level was sluggish when compared to development. We then choose a governance model that fits the current development of RL Group, from three widely used governance models of Chinese family business, with the objectives of achieving healthy development, and gives out perfect countermove of RL Group family business governance.
     This paper through corporate governance research in the RL Group, analyzes some common problems which family enterprises governance exist, and some special problems in the different types of family businesses governance, and also attempts to find one successful road for China's family businesses , and make it serve for the socialist modernization construction better.
